Términos de Servicio

Estos Términos de Servicio ("Términos") regulan el acceso y uso del sitio web dalekilab.com, las herramientas de inteligencia artificial (incluido ARCO y el generador de Roadmap), los servicios profesionales de consultoría en IA y cualquier producto que ofrezca Daleki Lab ("nosotros", "nuestro" o la "Empresa"), unidad operativa del Daleki World Group, gestionada por D-Legacy SAS (Ecuador) y D-Legacy USA LLC (Estados Unidos). En adelante todo lo anterior se denomina, colectivamente, los "Servicios".

Estos Términos son un contrato vinculante entre usted ("Usted", "Cliente" o "Usuario") y la entidad de Daleki Lab que corresponda según la jurisdicción de contratación. Léalos íntegramente. Al acceder o utilizar los Servicios usted declara haberlos leído, comprendido y aceptado, así como nuestra Política de Privacidad. Si no está de acuerdo con alguna disposición, absténgase de utilizar los Servicios.

1. Definiciones

• Daleki Lab: consultora de inteligencia artificial operada por D-Legacy SAS (Ecuador) y D-Legacy USA LLC (Florida, EE.UU.).
• ARCO: asistente conversacional propietario que ejecuta el modelo Claude Sonnet 4.6 de Anthropic vía OpenRouter, cuyo único propósito es realizar el levantamiento inicial de auditoría operativa.
• Roadmap PDF: documento generado por nuestro motor de IA tras el uso de la Calculadora de ROI.
• Brief: resumen estructurado generado por ARCO al cierre de la conversación, entregado al equipo humano de Daleki Lab.
• Discovery cualificado: auditoría inicial gratuita reservada a empresas con facturación anual igual o superior a USD 500.000 o equipo igual o superior a diez (10) personas. Para el resto de organizaciones, la inversión y el alcance se evalúan caso por caso.
• Propuesta: documento firmado entre el Cliente y Daleki Lab que detalla scope, hitos, plazos, equipo, inversión, condiciones de pago y entregables específicos del proyecto.
• Salidas de IA: cualquier resultado generado por ARCO, por el generador de Roadmap o por cualquier otro modelo de inteligencia artificial utilizado por Daleki Lab.
• Información Confidencial: toda información técnica, comercial, financiera o estratégica intercambiada entre las partes, ya sea oral, escrita o digital, marcada como tal o que por su naturaleza deba considerarse confidencial.

2. Aceptación y Capacidad

Usted manifiesta que (a) tiene al menos dieciocho (18) años de edad, (b) goza de plena capacidad legal para contratar, y (c) si actúa en representación de una persona jurídica, cuenta con poderes vigentes y suficientes para obligarla conforme a estos Términos. Al crear cuenta, enviar formularios, utilizar ARCO o suscribir una Propuesta, Usted celebra un acuerdo legalmente vinculante.

3. Descripción de los Servicios

Daleki Lab es una consultora de inteligencia artificial que estructura su oferta en cuatro etapas secuenciales y desbloqueables, cada una con scope cerrado por proyecto:

• 01 · Auditoría de IA y operación. Mapeo de cada proceso de la organización mediante ARCO + entrevistas con el equipo. Entregable: PDF con scoring de automatización, ROI estimado y roadmap de noventa (90) días.
• 02 · Diseño de procesos automatizados. Rediseño end-to-end del proceso. Definición de qué hace IA, qué hace humano y qué se elimina. Entregables: especificaciones, prototipo navegable y KPIs medibles.
• 03 · Implementación de tecnología a medida. Construcción del sistema diseñado por un squad senior (SaaS, agentes IA, e-commerce, automatizaciones, paneles internos). Producción en semanas, scope cerrado por proyecto, stack Next.js, Supabase, Claude y n8n.
• 04 · Operación y optimización continua. Monitoreo del sistema, mejora de modelos, suma de automatizaciones y reporte mensual de horas ahorradas y costo evitado, bajo modelo de retainer.
• ARCO y Calculadora de ROI. Herramientas web gratuitas que sirven como entrada al servicio de auditoría.

Daleki Lab podrá modificar, ampliar, suspender o discontinuar cualquier Servicio en cualquier momento, sin que ello genere responsabilidad alguna, excepto en lo expresamente convenido en una Propuesta firmada.

4. Modelo Comercial y Discovery

El sitio web no exhibe rangos de precio públicos. La inversión y el alcance de cada proyecto se acuerdan directamente con el Cliente, siempre por escrito y formalizados en una Propuesta vinculante. La Propuesta prevalece sobre cualquier comunicación previa.

El Discovery (auditoría inicial) es gratuito únicamente para Clientes que cumplen el Discovery cualificado. Para el resto de organizaciones, Daleki Lab se reserva el derecho de cobrar por el Discovery o redirigir al Cliente a un alcance reducido.

5. ARCO, Calculadora de ROI y Naturaleza de las Salidas de IA

ARCO es un asistente conversacional cuya función es exclusivamente la recopilación estructurada de información operativa para preparar la auditoría. ARCO no toma decisiones automatizadas con efecto jurídico, no fija precios y no constituye una oferta vinculante por parte de Daleki Lab.

Adicionalmente, Usted reconoce y acepta que:

• Las salidas de IA se generan en base a modelos probabilísticos y pueden variar entre ejecuciones aun ante prompts iguales.
• Daleki Lab no garantiza exactitud, exhaustividad, vigencia ni adecuación para un propósito particular de las salidas de IA.
• Sus conversaciones pueden almacenarse para mantener el historial de la sesión y generar el brief, conforme a la Política de Privacidad.
• Daleki Lab y sus proveedores no entrenan modelos fundacionales de terceros con su contenido. Daleki Lab podrá utilizar datos agregados y verdaderamente anonimizados para mejorar internamente la calidad de prompts y métricas.
• Está prohibido utilizar las salidas de IA para fines ilícitos, decisiones individuales con efecto jurídico significativo (crédito, salud, empleo, seguros, justicia) o cualquier uso de alto riesgo en los términos previstos por el AI Act de la Unión Europea u otra regulación equivalente.

6. Cuentas de Usuario y Seguridad

El acceso a determinadas funcionalidades requiere crear una cuenta a través de Google OAuth. Usted es responsable de:

• Proporcionar información veraz, completa y actualizada.
• Mantener la confidencialidad de las credenciales y de cualquier token de acceso emitido por Daleki Lab.
• Toda actividad ejecutada bajo su cuenta, incluido el contenido enviado a ARCO o al formulario de contacto.
• Notificar de inmediato a lab@dalekiworld.com cualquier acceso no autorizado o brecha de seguridad sospechada.

Daleki Lab podrá suspender o cancelar cuentas que violen estos Términos, incurran en actividad fraudulenta, comprometan la seguridad de los Servicios o usen los Servicios para fines prohibidos.

7. Política de Uso Aceptable

Queda expresamente prohibido utilizar los Servicios para:

• Cualquier finalidad ilícita, fraudulenta, infractora de derechos de terceros o contraria al orden público.
• Distribuir malware, código malicioso, exploits, spam, contenido violento, difamatorio, obsceno, discriminatorio o que incite al odio.
• Realizar ingeniería inversa, descompilación o intento de extracción del código fuente, modelos, prompts del sistema o pesos de los modelos utilizados.
• Realizar scraping, crawling o cualquier acceso automatizado no autorizado; evadir mecanismos de rate limiting, autenticación o seguridad.
• Utilizar los Servicios para construir, entrenar o mejorar productos competitivos, generar bancos de datos para entrenamiento de modelos, o efectuar pruebas comparativas (benchmarking) sin consentimiento previo y escrito de Daleki Lab.
• Generar, almacenar o difundir material de explotación sexual infantil, armas biológicas, químicas, radiológicas o nucleares, contenido relacionado con terrorismo, ciberataques o cualquier otro uso de alto riesgo o prohibido por las políticas de Anthropic, OpenRouter, Vercel, Supabase u otros proveedores.
• Suplantar la identidad de terceros, falsear su afiliación o alterar metadatos.
• Revender, sublicenciar o redistribuir los Servicios sin autorización escrita previa.

8. Propiedad Intelectual

8.1 Titularidad de Daleki Lab

Todos los derechos de propiedad intelectual e industrial sobre el sitio web, sus contenidos, código fuente, diseños, marcas, isotipo, lockups, prompts del sistema, frameworks internos, metodologías, plantillas, librerías, documentación, y la marca ARCO son de titularidad exclusiva de Daleki Lab y/o sus licenciantes, protegidos por la Ley de Propiedad Intelectual del Ecuador (Código Orgánico de la Economía Social de los Conocimientos), por la Lanham Act y la Copyright Act de los Estados Unidos, por los tratados internacionales aplicables y por las normas que las complementen o sustituyan.

8.2 Entregables al Cliente

Salvo pacto distinto suscrito en una Propuesta:

• Código personalizado. El código fuente desarrollado específicamente para el Cliente le es transferido en propiedad tras el pago íntegro del proyecto correspondiente. Hasta la verificación de dicho pago, el Cliente recibe únicamente una licencia limitada, intransferible, no exclusiva y revocable para evaluar y usar los entregables con fines internos.
• Componentes reutilizables. Las librerías internas, frameworks, prompts, esquemas, plantillas, builders y cualquier herramienta propietaria de Daleki Lab utilizada en el proyecto permanecen como propiedad exclusiva de Daleki Lab. El Cliente recibe sobre ellos una licencia perpetua, mundial, no exclusiva, no transferible, intransferible y libre de regalías para su uso dentro de los entregables del proyecto.
• Contenido del Cliente. Textos, imágenes, marcas, datos, bases de datos y demás contenido proporcionado por el Cliente continúan siendo de su titularidad. El Cliente concede a Daleki Lab una licencia limitada, no exclusiva y revocable para procesarlos en el marco estricto del proyecto.
• Salidas de IA generadas para el Cliente. La titularidad sobre las salidas se rige por las políticas vigentes del modelo subyacente (Anthropic / OpenRouter). En todo caso, el Cliente declara ser único responsable del uso que dé a dichas salidas.

8.3 Portafolio y casos de estudio

Salvo acuerdo de confidencialidad en contrario, Daleki Lab se reserva el derecho de exhibir el nombre, logotipo y descripción genérica del proyecto en su portafolio, redes sociales, presentaciones comerciales y materiales de marketing.

9. Confidencialidad

Cada parte se obliga a tratar la Información Confidencial de la otra con la misma diligencia que aplica a la propia, y nunca con un estándar menor al razonable. La Información Confidencial solo podrá utilizarse para los fines del proyecto y no podrá divulgarse a terceros sin autorización escrita previa, salvo a empleados, asesores y subcontratistas obligados a deberes de confidencialidad equivalentes. Esta obligación subsiste por cinco (5) años posteriores a la terminación de los Servicios. Si el Cliente lo requiere, firmaremos un NDA bilateral previo al inicio de la auditoría.

10. Pagos, Facturación y Reembolsos

10.1 Métodos y moneda

Los pagos se procesan en USD mediante transferencia bancaria, Stripe, MercadoPago u otros medios habilitados por Daleki Lab. Salvo indicación expresa, los precios no incluyen IVA, sales tax ni retenciones que pudieran corresponder. El Cliente asume cualquier impuesto, contribución o retención aplicable en su jurisdicción.

10.2 Esquema de cobro por proyecto

• Proyectos por hito. Anticipo del cincuenta por ciento (50%) al iniciar y el saldo contra entrega, salvo pacto distinto en la Propuesta.
• Retainers mensuales (Servicio 04). Pago al inicio de cada periodo. Plazo de aviso de cancelación: treinta (30) días corridos.
• Suscripciones o servicios on-demand. Renovación automática salvo cancelación con al menos siete (7) días de anticipación al cierre del periodo.

10.3 Mora y suspensión

Los pagos vencidos devengarán intereses moratorios al tipo legal máximo permitido en la jurisdicción aplicable. Daleki Lab podrá suspender los Servicios sin responsabilidad si el Cliente registra mora superior a quince (15) días corridos, hasta que regularice. La suspensión no exime al Cliente de sus obligaciones económicas.

10.4 Reembolsos

• Los pagos por trabajo ya ejecutado o entregado no son reembolsables.
• Si el proyecto se cancela antes de su finalización, se cobrará proporcionalmente por el trabajo ejecutado más los costos directos no recuperables incurridos por Daleki Lab a la fecha de cancelación.
• Las suscripciones y retainers no generan reembolso por períodos parciales; el acceso se mantiene hasta el cierre del período facturado.
• Daleki Lab podrá emitir reembolsos voluntarios en casos excepcionales, a su sola discreción.

11. Niveles de Servicio y Soporte

Salvo pacto expreso de SLA en la Propuesta, no se garantiza un porcentaje específico de uptime para el sitio web, ARCO, el generador de Roadmap u otras herramientas gratuitas. Los plazos de entrega indicados en propuestas son estimaciones de buena fe y pueden variar por cambios de scope solicitados por el Cliente, retrasos en la entrega de información o eventos fuera del control de Daleki Lab. Soporte y comunicación se brindan en horario laboral de Quito y Miami, salvo pacto distinto.

12. Dependencia de Servicios de Terceros

Los Servicios dependen de proveedores externos esenciales (entre otros Anthropic, OpenRouter, Supabase, Vercel, Google, Stripe, n8n, Sentry). Daleki Lab no es responsable por interrupciones, degradaciones, cambios contractuales o cesación de servicios de dichos proveedores, ni por las políticas que impongan al uso de sus modelos o infraestructuras. Cuando sea necesario, Daleki Lab procurará proveedores alternativos, sin que ello genere derecho a indemnización a favor del Cliente.

13. Exención de Garantías

EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY APLICABLE, LOS SERVICIOS Y LAS SALIDAS DE IA SE PROPORCIONAN "TAL CUAL" (AS IS) Y "SEGÚN DISPONIBILIDAD" (AS AVAILABLE), SIN GARANTÍAS DE NINGÚN TIPO, EXPRESAS O IMPLÍCITAS.

• No garantizamos que los Servicios sean ininterrumpidos, seguros, libres de errores o que cumplan con expectativas específicas del Cliente no incorporadas expresamente a una Propuesta.
• Renunciamos a las garantías implícitas de comerciabilidad, idoneidad para un propósito particular, no infracción y precisión.
• No garantizamos resultados económicos específicos, conversiones, retorno sobre la inversión, posicionamiento ni cifra alguna proyectada por calculadoras, roadmaps o materiales comerciales, los cuales se ofrecen como estimaciones de buena fe.

14. Limitación de Responsabilidad

EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY APLICABLE:

• Daleki Lab, sus accionistas, directores, empleados, agentes, contratistas y afiliados no responderán por daños indirectos, incidentales, especiales, consecuenciales, punitivos ni ejemplares, incluyendo lucro cesante, pérdida de ingresos, oportunidades de negocio, datos, fondo de comercio, reputación o ahorros previstos, aun cuando se hubiera advertido de tal posibilidad.
• La responsabilidad acumulada total de Daleki Lab frente al Cliente, cualquiera sea la teoría jurídica invocada (contrato, responsabilidad extracontractual, responsabilidad objetiva, indemnización u otra), no excederá el monto efectivamente pagado por el Cliente a Daleki Lab durante los doce (12) meses inmediatamente anteriores al hecho que origina la reclamación, o quinientos dólares de los Estados Unidos (USD $500), lo que resulte mayor.
• Estas limitaciones constituyen elemento esencial del intercambio económico entre las partes; sin ellas Daleki Lab no prestaría los Servicios al precio convenido.
• Nada en estos Términos pretende excluir o limitar la responsabilidad por dolo, culpa grave, fraude, o cualquier otra responsabilidad que por ley no pueda ser excluida.

15. Indemnización

El Cliente se obliga a indemnizar, defender y mantener indemnes a Daleki Lab, sus accionistas, directores, empleados, agentes y afiliados frente a toda reclamación, demanda, responsabilidad, daño, pérdida, costo o gasto (incluidos honorarios razonables de abogados) derivados de:

• El uso que haga de los Servicios o de las Salidas de IA.
• Decisiones adoptadas por el Cliente o por terceros con base en las Salidas de IA.
• El incumplimiento de estos Términos o de leyes aplicables.
• La vulneración de derechos de terceros, incluida propiedad intelectual, privacidad y reputación.
• Datos, contenido, instrucciones o requisitos proporcionados por el Cliente que sean ilícitos, inexactos, infractores o violatorios de derechos.

16. Fuerza Mayor

Ninguna parte responderá por demoras o incumplimientos derivados de causas ajenas a su control razonable, incluyendo desastres naturales, pandemias, actos de autoridad, conflictos armados, terrorismo, sanciones internacionales, disrupciones de internet, ciberataques, fallas masivas de proveedores cloud, fallas en modelos de IA de terceros, huelgas o cortes de energía. La parte afectada notificará a la otra dentro de plazos razonables y desplegará esfuerzos comerciales razonables para mitigar el evento.

17. Suspensión y Terminación

• Por el Cliente: mediante baja de cuenta y aviso a lab@dalekiworld.com. Las obligaciones económicas vencidas y los retainers en curso seguirán vigentes hasta el cierre del período correspondiente o el plazo de aviso pactado.
• Por Daleki Lab: en cualquier momento con aviso razonable o de manera inmediata en caso de incumplimiento, mora superior a treinta (30) días, uso prohibido, riesgo legal o reputacional, o instrucción de autoridad competente.
• Efectos: tras la terminación, (a) el acceso a los Servicios cesa de inmediato; (b) las obligaciones de pago vencidas subsisten; (c) las cláusulas sobre Propiedad Intelectual, Confidencialidad, Limitación de Responsabilidad, Indemnización, Resolución de Disputas y Ley Aplicable sobreviven a la terminación.

18. Cumplimiento Regulatorio, Sanciones y Exportaciones

El Cliente se compromete a cumplir todas las leyes y regulaciones aplicables, incluidas las normas de comercio exterior y exportación de los Estados Unidos (EAR, OFAC) y del Ecuador. Está prohibido utilizar los Servicios desde países o territorios sujetos a sanciones integrales, ni proporcionar acceso a personas o entidades incluidas en listas de sanciones (SDN, EU Consolidated List, ONU, entre otras). El Cliente declara no estar incluido en dichas listas. Asimismo, el Cliente reconoce que el uso de modelos de IA puede estar sujeto a regímenes específicos como el AI Act de la Unión Europea, y se obliga a su cumplimiento cuando sean aplicables.

19. No Solicitación de Personal

Durante la vigencia de los Servicios y por doce (12) meses adicionales, el Cliente se obliga a no contratar, emplear ni gestionar la contratación, de manera directa o indirecta, de personal o contratistas de Daleki Lab que hayan intervenido en el proyecto, salvo autorización escrita previa o pago de un honorario de placement equivalente al cincuenta por ciento (50%) del salario bruto anual de la persona involucrada.

20. Cesión y Subcontratación

El Cliente no podrá ceder estos Términos ni los derechos derivados de ellos sin el consentimiento previo y escrito de Daleki Lab. Daleki Lab podrá ceder la posición contractual a una entidad afiliada o sucesora en caso de reorganización corporativa, fusión, adquisición o transmisión total o parcial del negocio, así como subcontratar la prestación parcial de los Servicios bajo obligaciones equivalentes de confidencialidad y seguridad.

21. Notificaciones

Cualquier notificación entre las partes se realizará por correo electrónico a las direcciones lab@dalekiworld.com y privacy@dalekiworld.com (Daleki Lab) o a la dirección registrada por el Cliente en su cuenta. Las notificaciones se entenderán recibidas el día hábil siguiente al envío, sin perjuicio de los plazos legales especiales aplicables a actuaciones judiciales.

22. Acuerdo Íntegro, Divisibilidad y Renuncia

Estos Términos, conjuntamente con la Política de Privacidad y la Propuesta firmada para cada proyecto, constituyen el acuerdo íntegro entre las partes y sustituyen toda comunicación o entendimiento previo sobre la misma materia. Si alguna disposición es declarada inválida, ilegal o inaplicable por autoridad competente, el resto continuará en pleno vigor y la disposición afectada será modificada en la medida mínima necesaria para hacerla válida y exigible. La falta de ejercicio de un derecho por una de las partes no implica renuncia al mismo ni a su ejercicio futuro.

23. Ley Aplicable y Jurisdicción

23.1 Operaciones bajo D-Legacy SAS (Ecuador)

Estos Términos se rigen e interpretan conforme a las leyes de la República del Ecuador, incluyendo la Constitución, el Código Civil, el Código de Comercio, la Ley Orgánica de Defensa del Consumidor (cuando aplique), la Ley de Comercio Electrónico, Firmas Electrónicas y Mensajes de Datos, la Ley Orgánica de Protección de Datos Personales y su Reglamento, el Código Orgánico de la Economía Social de los Conocimientos y demás normativa concordante. Las disputas que no se resuelvan por arbitraje serán de competencia exclusiva de los jueces y tribunales del cantón Quito, provincia de Pichincha, Ecuador.

23.2 Operaciones bajo D-Legacy USA LLC (Estados Unidos)

Para servicios prestados a través de D-Legacy USA LLC, estos Términos se regirán por las leyes del Estado de Florida, sin atender a sus normas de conflicto de leyes. Las disputas que no se resuelvan por arbitraje serán de competencia exclusiva de los tribunales federales o estatales con sede en el Condado de Miami-Dade, Florida.

23.3 Determinación de jurisdicción

La jurisdicción aplicable se determinará por la entidad de Daleki Lab que conste en la factura o Propuesta. En caso de ambigüedad, se aplicará la jurisdicción ecuatoriana.

24. Resolución de Disputas y Arbitraje

Las partes intentarán resolver de buena fe cualquier controversia mediante negociación directa, durante un plazo no menor a treinta (30) días corridos desde la notificación escrita de la disputa. De no alcanzarse acuerdo, la controversia se someterá a arbitraje vinculante en derecho:

• Ecuador: ante el Centro de Arbitraje y Mediación de la Cámara de Comercio de Quito, conforme a su Reglamento y a la Ley de Arbitraje y Mediación. Sede: Quito. Idioma: español. Árbitro único, salvo cuantía superior a USD 500.000 en la cual se constituirá un tribunal de tres miembros.
• Estados Unidos: ante la American Arbitration Association (AAA), bajo sus Reglas de Arbitraje Comercial. Sede: Miami, Florida. Idioma: inglés. Árbitro único, salvo cuantía superior a USD 500.000.

El laudo será definitivo, vinculante y ejecutable ante cualquier tribunal competente. Cada parte asumirá inicialmente sus costos, salvo asignación distinta del árbitro. EL CLIENTE RENUNCIA EXPRESAMENTE A INICIAR O PARTICIPAR EN ACCIONES DE CLASE, ACCIONES COLECTIVAS O ACCIONES REPRESENTATIVAS frente a Daleki Lab.

25. Propiedad Intelectual de Terceros y DMCA

Daleki Lab respeta los derechos de terceros. Si Usted considera que material publicado en los Servicios infringe sus derechos de autor, envíe notificación conforme a la Digital Millennium Copyright Act (DMCA) a lab@dalekiworld.com, asunto "DMCA Notice", con: identificación de la obra, ubicación del material infractor, datos de contacto, declaración de buena fe, declaración bajo pena de perjurio de exactitud y firma del titular o representante autorizado.

26. Modificaciones a los Términos

Daleki Lab podrá modificar estos Términos en cualquier momento. Las modificaciones entran en vigor en la fecha indicada al inicio del documento. Para cambios materiales se notificará por correo electrónico o mediante aviso destacado en el sitio web durante al menos treinta (30) días previos a su entrada en vigor. El uso continuado de los Servicios tras dicha entrada en vigor implica aceptación de los nuevos Términos. Si no está de acuerdo con los cambios, deberá cesar el uso y solicitar la baja de su cuenta.

Terms of Service

These Terms of Service ("Terms") govern access to and use of the website dalekilab.com, the artificial intelligence tools (including ARCO and the Roadmap generator), the AI consulting professional services, and any product offered by Daleki Lab ("we", "us", "our", or the "Company"), an operating unit of the Daleki World Group, managed by D-Legacy SAS (Ecuador) and D-Legacy USA LLC (United States). All of the above are collectively the "Services".

These Terms constitute a binding contract between you ("You", "Client", or "User") and the Daleki Lab entity that corresponds to the contracting jurisdiction. Read them in full. By accessing or using the Services you declare that you have read, understood, and accepted them, as well as our Privacy Policy. If you do not agree with any provision, refrain from using the Services.

1. Definitions

• ARCO: proprietary conversational assistant running Anthropic's Claude Sonnet 4.6 via OpenRouter, whose sole purpose is to perform the initial collection of operational audit information.
• Roadmap PDF: document generated by our AI engine after use of the ROI Calculator.
• Brief: structured summary generated by ARCO at the close of the conversation, delivered to Daleki Lab's human team.
• Qualified Discovery: free initial audit reserved for companies with annual revenue equal to or greater than USD 500,000 or a team equal to or greater than ten (10) people. For other organizations, scope and investment are evaluated case by case.
• Proposal: document signed between the Client and Daleki Lab detailing scope, milestones, timelines, team, investment, payment terms, and project-specific deliverables.
• AI Outputs: any results generated by ARCO, by the Roadmap generator, or by any other AI model used by Daleki Lab.
• Confidential Information: all technical, commercial, financial, or strategic information exchanged between the parties, whether oral, written, or digital, marked as such or which by its nature should be considered confidential.

2. Acceptance and Capacity

You represent that (a) you are at least eighteen (18) years of age, (b) you have full legal capacity to contract, and (c) if acting on behalf of a legal entity, you have valid and sufficient authority to bind it under these Terms. By creating an account, submitting forms, using ARCO, or signing a Proposal, you enter into a legally binding agreement.

3. Description of Services

Daleki Lab is an AI consultancy that structures its offering in four sequential, unlockable stages, each with locked scope per project:

• 01 · AI & Operations Audit. Mapping every process in the organization via ARCO + team interviews. Deliverable: PDF with automation scoring, estimated ROI, and ninety (90)-day roadmap.
• 02 · Automated Process Design. End-to-end process redesign. Definition of what AI does, what humans do, and what gets eliminated. Deliverables: specs, navigable prototype, measurable KPIs.
• 03 · Custom Build. Construction of the designed system by a senior squad (SaaS, AI agents, e-commerce, automations, internal dashboards). Production in weeks, scope locked per project, stack Next.js, Supabase, Claude, n8n.
• 04 · Operate & Optimize. System monitoring, model improvement, addition of automations, monthly report of hours saved and cost avoided, under retainer model.
• ARCO and ROI Calculator. Free web tools that serve as entry to the audit service.

Daleki Lab may modify, expand, suspend, or discontinue any Service at any time, without liability, except as expressly agreed in a signed Proposal.

4. Commercial Model and Discovery

The website does not display public pricing ranges. The investment and scope of each project are agreed directly with the Client, always in writing and formalized in a binding Proposal. The Proposal prevails over any prior communication.

Discovery (initial audit) is free only for Clients meeting the Qualified Discovery criteria. For other organizations, Daleki Lab reserves the right to charge for Discovery or redirect the Client to a reduced scope.

5. ARCO, ROI Calculator, and the Nature of AI Outputs

ARCO is a conversational assistant whose sole function is the structured collection of operational information to prepare the audit. ARCO does not take automated decisions with legal effect, does not set prices, and does not constitute a binding offer by Daleki Lab.

You further acknowledge and accept that:

• AI Outputs are generated by probabilistic models and may vary between runs even given identical prompts.
• Daleki Lab does not guarantee accuracy, completeness, currency, or fitness for a particular purpose of the AI Outputs.
• Your conversations may be stored to maintain session history and to generate the brief, in accordance with the Privacy Policy.
• Daleki Lab and its providers do not train third-party foundational models with your content. Daleki Lab may use aggregated and genuinely anonymized data to internally improve prompt quality and metrics.
• You may not use AI Outputs for unlawful purposes, individual decisions with significant legal effect (credit, health, employment, insurance, justice), or any high-risk use within the meaning of the EU AI Act or equivalent regulation.

6. User Accounts and Security

Access to certain features requires creating an account via Google OAuth. You are responsible for:

• Providing truthful, complete, and up-to-date information.
• Maintaining the confidentiality of credentials and any access tokens issued by Daleki Lab.
• All activity carried out under your account, including content submitted to ARCO or to the contact form.
• Immediately notifying lab@dalekiworld.com of any unauthorized access or suspected security breach.

Daleki Lab may suspend or terminate accounts that violate these Terms, engage in fraudulent activity, compromise the security of the Services, or use the Services for prohibited purposes.

7. Acceptable Use Policy

You may not use the Services for:

• Any unlawful, fraudulent, rights-infringing, or public-policy-violating purpose.
• Distributing malware, malicious code, exploits, spam, violent, defamatory, obscene, discriminatory, or hate-inciting content.
• Reverse engineering, decompiling, or attempting to extract source code, models, system prompts, or model weights used.
• Scraping, crawling, or any unauthorized automated access; bypassing rate limiting, authentication, or security mechanisms.
• Using the Services to build, train, or improve competing products, generate datasets for model training, or perform benchmarking without prior written consent of Daleki Lab.
• Generating, storing, or distributing child sexual exploitation material, biological/chemical/radiological/nuclear weapons content, terrorism-related content, cyberattack tooling, or any other high-risk or prohibited use under the policies of Anthropic, OpenRouter, Vercel, Supabase, or other providers.
• Impersonating others, misrepresenting affiliation, or altering metadata.
• Reselling, sublicensing, or redistributing the Services without prior written authorization.

8. Intellectual Property

8.1 Daleki Lab Ownership

All intellectual and industrial property rights over the website, its contents, source code, designs, trademarks, brand mark, lockups, system prompts, internal frameworks, methodologies, templates, libraries, documentation, and the ARCO brand are the exclusive property of Daleki Lab and/or its licensors, protected by Ecuador's Intellectual Property Law (Code of the Social Knowledge Economy), by the Lanham Act and the Copyright Act of the United States, by applicable international treaties, and by any rules supplementing or replacing them.

8.2 Client Deliverables

Unless otherwise agreed in a signed Proposal:

• Custom code. The source code developed specifically for the Client is transferred to it upon full payment of the corresponding project. Until such payment is verified, the Client receives only a limited, non-transferable, non-exclusive, revocable license to evaluate and use deliverables for internal purposes.
• Reusable components. Internal libraries, frameworks, prompts, schemas, templates, builders, and any proprietary tool of Daleki Lab used in the project remain the exclusive property of Daleki Lab. The Client receives over them a perpetual, worldwide, non-exclusive, non-transferable, royalty-free license for use within the project deliverables.
• Client content. Texts, images, marks, data, databases, and any other content provided by the Client remain its property. The Client grants Daleki Lab a limited, non-exclusive, revocable license to process them strictly within the project.
• AI Outputs generated for the Client. Ownership of outputs is governed by the then-current policies of the underlying model (Anthropic / OpenRouter). In all cases, the Client declares that it is solely responsible for the use it makes of such outputs.

8.3 Portfolio and Case Studies

Unless otherwise agreed in a confidentiality agreement, Daleki Lab reserves the right to display the project name, logo, and generic description in its portfolio, social media, commercial presentations, and marketing materials.

9. Confidentiality

Each party agrees to treat the other's Confidential Information with the same diligence it applies to its own, and never with a standard lower than reasonable. Confidential Information may only be used for project purposes and may not be disclosed to third parties without prior written authorization, except to employees, advisors, and subcontractors bound by equivalent confidentiality duties. This obligation survives for five (5) years after termination of the Services. If the Client requires it, we will sign a bilateral NDA prior to the start of the audit.

10. Payments, Billing, and Refunds

10.1 Methods and currency

Payments are processed in USD via wire transfer, Stripe, MercadoPago, or other methods enabled by Daleki Lab. Unless expressly stated, prices do not include VAT, sales tax, or applicable withholdings. The Client assumes any tax, contribution, or withholding applicable in its jurisdiction.

10.2 Project payment schedule

• Milestone-based projects. Fifty percent (50%) advance at start and balance upon delivery, unless otherwise agreed in the Proposal.
• Monthly retainers (Service 04). Payment at the start of each period. Cancellation notice: thirty (30) calendar days.
• Subscriptions or on-demand services. Automatic renewal unless cancellation is communicated at least seven (7) days before the period ends.

10.3 Late payment and suspension

Overdue payments accrue default interest at the maximum rate permitted by applicable law. Daleki Lab may suspend the Services without liability if the Client is more than fifteen (15) calendar days late, until the situation is regularized. Suspension does not relieve the Client of its economic obligations.

10.4 Refunds

• Payments for work already performed or delivered are non-refundable.
• If the project is cancelled before completion, the Client will be charged proportionally for work performed plus direct non-recoverable costs incurred by Daleki Lab as of the cancellation date.
• Subscriptions and retainers do not entitle to a refund for partial periods; access remains until the end of the billed period.
• Daleki Lab may issue voluntary refunds in exceptional cases, at its sole discretion.

11. Service Levels and Support

Unless an SLA is expressly agreed in the Proposal, no specific uptime percentage is guaranteed for the website, ARCO, the Roadmap generator, or other free tools. Delivery timelines indicated in proposals are good-faith estimates and may vary due to scope changes requested by the Client, delays in delivery of information, or events beyond Daleki Lab's control. Support and communication are provided during business hours in Quito and Miami, unless otherwise agreed.

12. Dependence on Third-Party Services

The Services depend on essential external providers (including Anthropic, OpenRouter, Supabase, Vercel, Google, Stripe, n8n, Sentry). Daleki Lab is not responsible for interruptions, degradations, contractual changes, or cessation of services by such providers, nor for the policies they impose on the use of their models or infrastructure. Where necessary, Daleki Lab will procure alternative providers, without giving rise to any right of indemnification in favor of the Client.

13. Warranty Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

• We do not warrant that the Services will be uninterrupted, secure, error-free, or that they will meet specific Client expectations not expressly incorporated into a Proposal.
• We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
• We do not warrant specific economic results, conversions, ROI, ranking, or any figure projected by calculators, roadmaps, or marketing materials, which are offered as good-faith estimates.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Daleki Lab, its shareholders, directors, employees, agents, contractors, and affiliates shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, business opportunities, data, goodwill, reputation, or anticipated savings, even if advised of such possibility.
• Daleki Lab's total aggregate liability to the Client, under any legal theory (contract, tort, strict liability, indemnification, or otherwise), shall not exceed the amount actually paid by the Client to Daleki Lab during the twelve (12) months immediately preceding the event giving rise to the claim, or five hundred US dollars (USD $500), whichever is greater.
• These limitations are an essential element of the economic exchange between the parties; without them, Daleki Lab would not provide the Services at the agreed price.
• Nothing in these Terms is intended to exclude or limit liability for willful misconduct, gross negligence, fraud, or any other liability that cannot be excluded by law.

15. Indemnification

The Client agrees to indemnify, defend, and hold harmless Daleki Lab, its shareholders, directors, employees, agents, and affiliates from any claim, demand, liability, damage, loss, cost, or expense (including reasonable attorneys' fees) arising from:

• The use of the Services or AI Outputs.
• Decisions made by the Client or third parties based on the AI Outputs.
• Breach of these Terms or applicable laws.
• Violation of third-party rights, including intellectual property, privacy, and reputation.
• Data, content, instructions, or requirements provided by the Client that are unlawful, inaccurate, infringing, or rights-violating.

16. Force Majeure

Neither party shall be liable for delays or failures arising from causes beyond its reasonable control, including natural disasters, pandemics, government actions, armed conflicts, terrorism, international sanctions, internet disruptions, cyberattacks, mass cloud-provider failures, third-party AI model failures, strikes, or power outages. The affected party will notify the other within reasonable timelines and will deploy commercially reasonable efforts to mitigate the event.

17. Suspension and Termination

• By the Client: by deactivating its account and notifying lab@dalekiworld.com. Outstanding economic obligations and ongoing retainers will remain in force until the end of the corresponding period or the agreed notice period.
• By Daleki Lab: at any time with reasonable notice, or immediately in the event of breach, default exceeding thirty (30) days, prohibited use, legal or reputational risk, or instruction from a competent authority.
• Effects: upon termination, (a) access to the Services ceases immediately; (b) payment obligations already accrued survive; (c) clauses on Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law survive termination.

18. Regulatory Compliance, Sanctions, and Export

The Client agrees to comply with all applicable laws and regulations, including United States export and trade rules (EAR, OFAC) and Ecuadorian rules. The Services may not be used from countries or territories subject to comprehensive sanctions, nor may access be granted to persons or entities on sanctions lists (SDN, EU Consolidated List, UN, among others). The Client declares that it is not on such lists. The Client further acknowledges that the use of AI models may be subject to specific regimes such as the EU AI Act, and undertakes to comply with them where applicable.

19. Non-Solicitation of Personnel

During the term of the Services and for an additional twelve (12) months, the Client agrees not to hire, employ, or arrange for the hiring, directly or indirectly, of personnel or contractors of Daleki Lab who participated in the project, except with prior written authorization or payment of a placement fee equal to fifty percent (50%) of the gross annual salary of the person involved.

20. Assignment and Subcontracting

The Client may not assign these Terms or the rights derived therefrom without the prior written consent of Daleki Lab. Daleki Lab may assign this contract to an affiliated or successor entity in case of corporate reorganization, merger, acquisition, or full or partial transfer of the business, and may subcontract the partial provision of the Services under equivalent confidentiality and security obligations.

21. Notices

Any notice between the parties shall be sent by email to lab@dalekiworld.com and privacy@dalekiworld.com (Daleki Lab) or to the address registered by the Client in its account. Notices shall be deemed received on the next business day after sending, without prejudice to special legal timeframes applicable to judicial actions.

22. Entire Agreement, Severability, and Waiver

These Terms, together with the Privacy Policy and the Proposal signed for each project, constitute the entire agreement between the parties and supersede any prior communication or understanding on the same matter. If any provision is declared invalid, illegal, or unenforceable by a competent authority, the rest shall continue in full force and the affected provision shall be modified to the minimum extent necessary to make it valid and enforceable. Failure to exercise a right by either party does not imply waiver of it or of its future exercise.

23. Governing Law and Jurisdiction

23.1 D-Legacy SAS Operations (Ecuador)

These Terms are governed by and construed in accordance with the laws of the Republic of Ecuador, including the Constitution, the Civil Code, the Commercial Code, the Consumer Protection Act (where applicable), the Electronic Commerce, Electronic Signatures and Data Messages Act, the Organic Law for the Protection of Personal Data and its Regulations, the Code of the Social Knowledge Economy, and other related rules. Disputes not resolved through arbitration shall be subject to the exclusive jurisdiction of the judges and courts of the Quito Canton, Pichincha Province, Ecuador.

23.2 D-Legacy USA LLC Operations (United States)

For services rendered through D-Legacy USA LLC, these Terms shall be governed by the laws of the State of Florida, without reference to its conflict-of-law rules. Disputes not resolved through arbitration shall be subject to the exclusive jurisdiction of the federal or state courts located in Miami-Dade County, Florida.

23.3 Jurisdiction Determination

The applicable jurisdiction shall be determined by the Daleki Lab entity appearing on the invoice or Proposal. In case of ambiguity, Ecuadorian jurisdiction shall apply.

24. Dispute Resolution and Arbitration

The parties shall attempt to resolve any dispute in good faith through direct negotiation, for a period of no less than thirty (30) calendar days from written notice of the dispute. If no agreement is reached, the dispute shall be submitted to binding arbitration on the merits:

• Ecuador: before the Arbitration and Mediation Center of the Quito Chamber of Commerce, in accordance with its Rules and Ecuador's Arbitration and Mediation Act. Seat: Quito. Language: Spanish. Sole arbitrator, except for amounts greater than USD 500,000 in which case a three-member tribunal shall be constituted.
• United States: before the American Arbitration Association (AAA), under its Commercial Arbitration Rules. Seat: Miami, Florida. Language: English. Sole arbitrator, except for amounts greater than USD 500,000.

The award shall be final, binding, and enforceable in any competent court. Each party shall initially bear its own costs, unless otherwise allocated by the arbitrator. THE CLIENT EXPRESSLY WAIVES INITIATING OR PARTICIPATING IN CLASS ACTIONS, COLLECTIVE ACTIONS, OR REPRESENTATIVE ACTIONS against Daleki Lab.

25. Third-Party IP and DMCA

Daleki Lab respects third-party rights. If you believe material posted on the Services infringes your copyrights, send a notice pursuant to the Digital Millennium Copyright Act (DMCA) to lab@dalekiworld.com, subject "DMCA Notice", with: identification of the work, location of infringing material, contact details, good-faith statement, statement under penalty of perjury of accuracy, and signature of the rights holder or authorized representative.

26. Modifications to the Terms

Daleki Lab may modify these Terms at any time. Modifications take effect on the date indicated at the top of the document. For material changes, notification will be sent by email or via a prominent site notice for at least thirty (30) days before entry into force. Continued use of the Services after such entry into force implies acceptance of the new Terms. If you do not agree with the changes, you must cease use and request the closure of your account.
